Polaris is a national Group Purchasing Organization (GPO) owned
by leading Healthcare providers, dedicated to providing economic
and other value-added benefits to the United States health-care
market including Polaris members and suppliers, enabling them to
further their individual areas of excellence.

| How It Works |

Polaris will approach a manufacturer and guarantee him a great
deal of business over the next X years if they sign an agreement
on a number of prices. Because this is such a big business it is
beneficial to manufacturers and due to the discounts it is also
beneficial to the hospitals. Manufacturer will invoice Polaris at
full price per box. Hospitals will end up paying a discounted price
per box. Manufacturer will pay Polaris a check for the difference.
Polaris will put that in an account (Time Value of Money). A portion
of that money Polaris will reserve forever in form of investments
that will pile-up over time. The other portion Polaris will give
as a rebate back to a hospital with a check cut quarterly. Polaris
will collect a data file from distributors that will inform which
manufacturer ship what product to which distributor and which distributor
to which customer. Polaris will need this information to calculate
the amount of rebate check to cut to hospitals.
